IMPORTANT – PLEASE READ: These Terms of Use contain a binding arbitration clause and a class action waiver. They also include important disclaimers stating that the Held app is for entertainment and informational purposes only and is not a medical or therapeutic device. By accessing or using Held, you agree to these Terms and our Privacy Policy.
1. Agreement to Terms
These Terms of Use (the “Terms”) are a legally binding agreement between you and Wellset, Inc. (“Wellset,” “we,” “us,” or “our”), the owner and operator of the Held mobile application and related websites, dashboards, content, communications, and services (collectively, the “Services”). By downloading, installing, creating an account, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at [insert link]). If you do not agree, you may not use the Services.
The Services are offered and available to users who are 18 years of age or older. By using the Services, you represent and warrant that you meet this eligibility requirement. If you do not meet all of these requirements, you must not access or use the Services.
2. Overview of the Services
Held provides access to holistic and emotional wellness experiences that may include guided or self-paced practices, reflective exercises, journaling, breath and body awareness prompts, and an AI-driven conversational interface (the “AI Companion”) designed to support self-reflection and emotional awareness. The Services may generate insights, prompts, or suggestions based on your inputs and usage patterns.
THE SERVICES ARE FOR ENTERTAINMENT AND INFORMATIONAL PURPOSES ONLY. THE SERVICES DO NOT PROVIDE MEDICAL OR MENTAL HEALTH ADVICE AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL DIAGNOSIS, TREATMENT, OR THERAPY. YOU SHOULD ALWAYS SEEK THE ADVICE OF A PHYSICIAN, PSYCHOLOGIST, PSYCHIATRIST, OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL OR MENTAL HEALTH CONDITION.
3. Changes to These Terms
We may modify these Terms at any time in our sole discretion. When we do, we will update the “Last Updated” date above and may provide additional notice as required by law. Changes are effective upon posting. Your continued use of the Services after the posting of revised Terms means that you accept and agree to the changes.
4. Privacy; International Transfer; Children
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and safeguard your information, including any health-related or sensitive information that you choose to provide. The Services are hosted in the United States; by using the Services from outside the United States, you consent to the transfer, storage, and processing of your information in the United States, where data protection laws may be different.
Children’s Privacy: We do not knowingly collect personal information from children under 13 years of age. If we learn that we have collected personal information from a child under 13 without verified parental consent, we will delete that information. If you believe we might have any information from or about a child under 13, please contact us at support@held.app.
5. Accounts; Registration; Security
To access certain features, you may be required to register and create an account. You agree to provide accurate, current, and complete information, to maintain and promptly update such information, and to maintain the confidentiality of your credentials. You are responsible for all activities that occur under your account. You may not share your account or transfer it to any other person without our prior written consent.
We reserve the right to refuse, reclaim, or change any username, or to suspend or terminate your access, at our discretion, including if we determine that a username is obscene, infringing, misleading, or otherwise objectionable, or if you violate these Terms.
6. AI Companion; Content Generation; Safety
The AI Companion responds to prompts and may generate text or other content (“AI Outputs”) based on your inputs, context, and general patterns. AI Outputs are not reviewed by human experts and may be incomplete, inaccurate, offensive, or otherwise inappropriate for your situation. You should critically evaluate AI Outputs and not rely on them as professional advice.
No Medical or Therapeutic Relationship: Interaction with the AI Companion does not create a doctor–patient, therapist–client, or other professional relationship. If you are experiencing a crisis, call 911 or your local emergency number immediately or contact your local crisis hotline.
7. License; Mobile Application; App Store Terms
Subject to your compliance with these Terms, Wellset grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the mobile application solely for your personal, non-commercial use on devices that you own or control.
You agree not to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code; (b) copy, modify, adapt, translate, or create derivative works; (c) remove or alter proprietary notices; (d) use the Services to create a competing product or service; or (e) make the app available over a network where it could be used by multiple devices at the same time.
App Distributors: When you obtain the app from Apple’s App Store or Google Play (each, an “App Distributor”), you acknowledge and agree that: (i) your license is limited to a non-transferable license to use the app on a device that you own or control and as permitted by the applicable App Distributor’s terms; (ii) the App Distributor is not responsible for maintenance or support; (iii) in the event of a failure to conform to any warranty, you may notify the App Distributor for a potential refund of the purchase price (if any), and the App Distributor will have no other warranty obligation; (iv) you must comply with all applicable third-party terms of agreement; and (v) the App Distributor is a third-party beneficiary of these Terms.
8. Intellectual Property Rights
The Services, including all content, features, functionality, software, designs, text, graphics, images, audio, video, information, and the selection and arrangement thereof (collectively, the “Content”), and the trademarks, service marks, logos, and trade names displayed (“Marks”), are owned by or licensed to Wellset and are protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, distribute, publicly display, perform, or create derivative works of the Content.
9. User Content; Feedback; License Grants
You may provide content such as journals, reflections, notes, tags, preferences, text, audio, or other materials (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Wellset a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, use, reproduce, modify (for formatting/display), publish, and display such User Content as reasonably necessary to operate, improve, and provide the Services.
Representations and Warranties: You represent and warrant that you own or have the necessary rights to your User Content; that it does not infringe or violate any third-party rights; and that it complies with applicable laws and these Terms. You are solely responsible for your User Content.
Feedback: Any questions, comments, suggestions, ideas, or other feedback (“Feedback”) you provide are non-confidential and become Wellset’s sole property. We may use Feedback without restriction or compensation to you.
10. Prohibited Activities
- Use the Services for any illegal purpose or in violation of any law.
- Harass, threaten, defraud, or harm others, or promote violence or self-harm.
- Access or attempt to access any accounts or information without authorization.
- Interfere with or disrupt the Services or servers, including by introducing malware.
- Scrape, crawl, or spider any part of the Services; or collect users’ information without consent.
- Use automated means (bots, scripts) except for standard web indexing by search engines.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code.
- Circumvent, disable, or interfere with security-related features or restrictions.
- Upload or share content that is unlawful, infringing, obscene, or otherwise objectionable.
- Use the Services to compete with Wellset or for any commercial purpose without our prior written consent.
11. Memberships, Subscriptions, and Billing
Certain features are available only with a paid membership or subscription plan (each, a “Subscription”). Subscriptions may be offered on a monthly or annual basis, and may begin with a free or discounted trial. Unless otherwise stated, Subscriptions automatically renew at the end of each billing cycle until canceled.
Billing and Auto-Renewal: By purchasing a Subscription, you authorize Wellset (or its payment processors) to charge your selected payment method on a recurring basis for the applicable fees, taxes, and any other charges. For in-app purchases made via an App Distributor, billing and cancellations are managed by the App Distributor, and any refunds are subject to its policies.
Free Trials and Promotions: If you participate in a free trial, you will be charged at the end of the trial period unless you cancel before the trial ends. We reserve the right to modify or terminate promotions.
Price Changes: We may change Subscription pricing or plans. If we do, we will provide notice before the next billing cycle, and the change will take effect upon renewal. If you do not agree to the price change, you should cancel before the renewal date.
Cancellations and Refunds: You may cancel at any time through the Apple App Store or Google Play account settings (or through the method specified for your purchase). Except where required by law, fees are non-refundable and there are no credits for partially used periods.
Payment Information: You agree to keep your payment information current. If a payment fails, we may suspend or terminate access to the Subscription until payment is successfully processed.
Taxes: Fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes.
12. Device Requirements; Availability; Modifications
You are responsible for obtaining, maintaining, and paying for all hardware, software, and telecommunications required to use the Services. We do not guarantee that the Services will function on all devices or under all network conditions.
We may, from time to time, modify, update, or discontinue certain features or functionality, or suspend the Services for maintenance or other reasons. We are not liable for any modification, price change, suspension, or discontinuance of the Services.
13. Third‑Party Services, Content, and Links
The Services may contain links to or integrations with third-party websites, applications, content, or services. We do not control and are not responsible for third-party services. Your use of third-party services is subject to their terms, conditions, and privacy policies. Inclusion of a link or integration does not imply endorsement.
14. Health and Safety Precautions
Some practices offered through the Services may involve breathwork, visualization, or other exercises that may not be appropriate for everyone. You should consult your physician before starting any new wellness practice, especially if you are pregnant, have a history of fainting, seizures, cardiovascular, respiratory, or psychiatric conditions, or are on medications that may affect your nervous system.
If you feel dizziness, shortness of breath, numbness, tingling, chest pain, panic, or other adverse symptoms, stop using the Services and seek medical attention.
15. Disclaimers
THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR‑FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT OR AI OUTPUTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
16. Limitations of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WELLSET OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO WELLSET FOR THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY.
17. Indemnification
You agree to defend, indemnify, and hold harmless Wellset and its affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your User Content; (b) your use or misuse of the Services; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.
18. Copyright Infringement (DMCA Notice)
If you believe that any content on the Services infringes your copyright, please send a notice to our designated agent at legal@wellset.co including: (i) your physical or electronic signature; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material; (iv) your contact information; (v) a statement that you have a good-faith belief that use of the material is not authorized; and (vi) a statement that the information is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
19. Electronic Communications; Notices; Records
By using the Services, you consent to receive communications from us electronically, including emails, in‑app messages, or notices posted within the Services. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing. You consent to the use of electronic signatures, contracts, and records for transactions conducted through the Services.
20. Monitoring; Enforcement; Termination
We reserve the right, but have no obligation, to: (a) monitor the Services for violations of these Terms; (b) take appropriate legal action against anyone who violates the law or these Terms; (c) refuse, restrict, or disable access to any portion of the Services; (d) remove or disable files or content that are excessive in size or burdensome to our systems; and (e) otherwise manage the Services to protect our rights and facilitate proper functioning.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services will cease immediately.
21. Dispute Resolution; Arbitration; Class Action Waiver
Informal Resolution: Before filing any claim, you agree to first attempt to resolve the dispute informally by emailing support@wellset.co with a description of the dispute. If the dispute is not resolved within sixty (60) days of our receipt, either party may commence arbitration.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this provision.
Class Action Waiver and Jury Trial Waiver: YOU AND WELLSET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. YOU AND WELLSET WAIVE ANY RIGHT TO A JURY TRIAL.
Location; Exceptions: Unless otherwise required by the AAA rules or applicable law, arbitration will take place in Los Angeles County, California, or by telephone/video at the arbitrator’s discretion. Either party may bring claims in small claims court or seek injunctive relief in court for intellectual property infringement or misappropriation.
22. Governing Law; Venue
These Terms and your use of the Services are governed by the laws of the State of California, without regard to conflict of law principles. Subject to the arbitration provision above, the exclusive venue for any permitted judicial proceeding will be the state and federal courts located in Los Angeles County, California.
23. California Users and Residents
If any complaint with us is not satisfactorily resolved, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834; (800) 952‑5210.
24. Miscellaneous
Assignment: We may assign our rights and obligations under these Terms at any time. You may not assign your rights or obligations without our prior written consent.
Severability: If any provision is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: No waiver of any term will be deemed a further or continuing waiver of such term or any other term.
Force Majeure: We will not be liable for any delay or failure of performance resulting from causes beyond our reasonable control, including acts of God, labor disputes, internet failures, or governmental actions.
Entire Agreement: These Terms and any policies referenced herein (including the Privacy Policy) constitute the entire agreement between you and Wellset regarding the Services and supersede all prior or contemporaneous agreements.
Interpretation: Headings are for convenience only and do not affect interpretation. References to “including” mean “including without limitation.”
